1. Scope of Services

Velapace Enterprises ("we", "us", "our") provides creative branding, graphic design, printing, packaging design, and related services. These Terms & Conditions govern all work performed by us for our clients ("you", "your"). Engaging our services constitutes acceptance of these terms.

2. Quotations & Pricing

All quotations are valid for 14 days from the date of issue unless otherwise stated. Prices quoted are based on the information and requirements provided at the time of quotation. We reserve the right to revise quotations if the scope of work changes.

All prices are in Kenyan Shillings (KES) unless otherwise agreed. Prices exclude applicable taxes, delivery charges, and any third-party costs unless expressly included.

3. Project Brief & Revisions

A detailed project brief must be agreed upon before work commences. Each project includes up to three rounds of revisions unless alternative arrangements are specified in the quotation. Additional revisions beyond the agreed scope will be charged at our standard hourly rate.

4. Intellectual Property

Upon full payment, we transfer the intellectual property rights of the final deliverables to you, subject to the following:

• We retain the right to display the work in our portfolio, website, and marketing materials unless otherwise agreed in writing.
• We retain the right to use any concepts, ideas, or design approaches developed during the project for future work, provided no confidential information is disclosed.
• Any third-party assets (fonts, stock images, software plugins) used in the project are licensed separately and may require additional licensing by you for extended use.
• We do not transfer copyright of preliminary concepts, drafts, or rejected work unless separately agreed.

5. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information and materials
• Review and provide feedback within agreed timelines
• Obtain all necessary permissions for any materials you provide
• Ensure that any text, images, or branding elements you supply do not infringe third-party rights

6. Payment Terms

Payment terms are specified in each quotation. Unless otherwise agreed:

• A deposit of 50% of the total project fee is required before work commences.
• The balance is due upon completion and before final delivery or printing.
• Invoices are payable within 30 days unless other terms are agreed.
• We reserve the right to suspend work if payment is not received as agreed.

7. Cancellation & Refunds

If you cancel a project after work has commenced, you are liable for payment for all work completed up to the point of cancellation. The deposit is non-refundable as it covers initial consultation, research, and concept development time.

8. Printing & Production

For printing services:

• Colour accuracy: We strive to match colours as closely as possible. However, there may be slight variations between on-screen representations and the final printed product due to differences in monitor calibration, paper stock, and printing technology.
• You are responsible for proofreading and approving all print-ready files before production. We are not liable for errors in approved files.
• Print quantity tolerance: Industry-standard overruns or underruns of up to 10% are acceptable and billable at the same unit rate.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data.
• We do not guarantee that our services will meet your specific business objectives or generate any particular commercial outcome.

10. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to perform our services or as required by law.

11. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

12. Amendments

We reserve the right to amend these Terms & Conditions at any time. Changes will be posted on this page with an updated revision date. Continued engagement of our services after changes constitutes acceptance of the amended terms.
